Free-Wheels Babe

Contest Rules.

The following lists the main terms of entry for the Free-Wheel Babe beauty contest.
These terms form an agreement between the contestant/applicant (you); and,
Northern Filmmakers Ltd in association with Free-Wheels and other participating parties (Norfilms);
for the conduct of the Free-Wheel Babe contest (the contest);
and your participation in or employment by Norfilms on behalf of the Free-Wheels road congestion and pollution environmental campaign (the environmental campaign).
By registering you agree to these terms.

Aim

The aim of the beauty contest is to find one or more women prepared to promote a series of activities which are intended to have a long term benefit on the world environment.

General Terms

This agreement between you and Norfilms, concerns your participation in the contest and all related, or subsequent, activities undertaken by Norfilms.
In agreeing to enter the contest you verify that you meet the qualifications laid down by it and accept that if it is discovered that you fail any one of the qualifications you may be disqualified from entering or be removed from the contest without compensation.
Upon conclusion of the contest a single nontransferable prize is awarded: a Sports Car valued at approximately twenty thousand pounds (£20,000).

The Contest

1. You accept that this is a beauty contest and shall not hold Norfilms or any of its staff, associates, sponsors, etc., liable for any hurt, distress, harm, etc., you may feel should you not be chosen in any heat, the finals, or any other selection method adopted for the contest.
2. Norfilms cannot accept any responsibility for any loss, injury or damages occurring as a result of participation.
3. There is only one winning prize to one participant.
4. You may be awarded additional modelling, or other employment contracts at the discretion of Norfilms whether you win or not.
5. The contest is open to:-
1. All UK natural born females whose minimum age is 18.
2. Any female who believes they meet reasonable criteria of physique, height-weight proportional, slim, athletic; and are not pregnant.
3. Those who are physically and mentally healthy and abled to participate in the contest and all subsequent activities.
4. Anyone whose behaviour or beliefs do not conflict with the aims or conduct of the contest or any subsequent activities or employment by Norfilms.
6. You accept that there are two additional secondary contests and that winning the primary beauty contest does not automatically qualify for entry to or winning of either:-
1. The presenters' selection.
2. The adult entertainment selection.
7. You accept that the decision of Norfilms and it's decision-making is final and cannot be appealed.

Availability for the Contest, and Employment

1. You agree to be available for all stages of the contest, and, subject to suitable contracts, for subsequent activities, including:-
1. Rehearsals for any participation.
2. Pre-qualifying regional auditions to be held in major cities around the country to shortlist entrants.
3. Regional selection rounds for short-listed entrants.
4. National selection to find the winner and runners-up.
5. Subsequent promotional/winners' activities.
2. If you unreasonably refuse to participate in any one part of the contest or subsequent employment then you will be disqualified from further entry to the contest, or may be released immediately from your employment.

Conduct & Discipline

As a matter of conduct and discipline Norfilms will no accept or retain any entrant or employee who:-

1. Disrupts the contest.
2. Disrupts or disturbs other contestants.
3. Brings Norfilms, the contest, the environmental campaign, other entrants, sponsors, advertisers, and any other associated party into disrepute.
4. Refuses any reasonable request to participate in the contest or subsequent activities.

Norfilms reserves the right to seek damages against any entrant whose conduct has caused damage to Norfilms, its partners, employees, other contestants and other parties involved in the contest, its aims and activities.

Modelling

1. As part of your participation in the contest and any subsequent activities you agree to grant Norfilms the universal and perpetual title to:-
1. Your likeness and image in all media and uses.
2. Your audition recordings, interviews, photography and any and all other media recordings.
3. All other records.
4. All participation at live events.
2. You will not model, appear, or perform at any event in any manner which reproduces the style, image, content of the contest or environmental campaign at any time without Norfilms's written permission.
3. If you do model, perform, participate without permission you agree to compensate Norfilms with the full income of your performance or cash equivalent to any in-kind benefit you receive for such a performance.
4. Modelling for the contest and the environmental campaign will include at least:-
1. Bikini style.
2. Wet T-shirt style.
3. Topless style.
5. Additional modelling for the adult aspect of the contest and environmental campaign is voluntary only, and will NOT DISQUALIFY you from entering or winning the contest. This will include nude non-obscene performances.
6. All products of the contest, modelling and performances remain the sole copyright, title, trademark, as appropriate, of Norfilms.
7. All recorded material, participation in live events, etc., may be made available for sale to the public.
8. You shall receive a 15% share in the income to Norfilms from the sale of all recorded material in which you are the sole subject.
9. Your income share shall be paid to you where the annual income due to you exceeds a minimum income for the year of: £100.00 (one hundred pounds sterling).
10. If your income does not meet the minimum for the year, then it shall be held and added to the income of the following year, and any subsequent years, until your income has reached that minimum.
11. Your year for income will run from January to December, and you shall be paid by the end of January for your income in the previous year.
12. If you break this agreement you will loose all right to any further income, and you will loose any income due to you from past sales that has not already been paid to you.

Confidentiality / Non-Disclosure, Copyright Assignment

1. During your participation in the contest and subsequent activities you may be party to or overhear or witness matters of a private or confidential nature regarding:-
1. The activities of the contest, Norfilms its staff or associates.
2. Other contestants.
2. You shall not gossip, reveal, disclose, expose, record, retell, redistribute, sell or in any other manner give away any information you obtain during your participation.
3. Especially you agree not to reveal any information in any biographical story for any form of publication now or in the future.
4. You agree to assign full and permanent copyright of the biographical story of your participation in the contest and any subsequent related activities to Norfilms.
5. You will not record, such as through the use of small cameras, audio recorders, etc., any activity in the context of this contest and the environmental campaign.
6. In other words, at least:-
1. No kiss-and-tell.
2. No gossip.
3. No tabloid exposures/stories/exclusives, etc.
4. No secret camera or other recordings.
5. No web blogs.
7. This is a permanent embargo.
8. Norfilms alone reserves the right for any behind-the-scenes records and their use.

Production Schedule, Your Expenses and Commitments

1. The contest shall be launched in summer of this year.
2. The schedule shall comprise of several regional audition and selection events.
3. You will be solely responsible for your expenses to attend the regional selections.
4. Norfilms will reimburse your expenses or make arrangements to cover your travel and accommodation for all participation after the regional events.
5. You shall make your schedule available to participate throughout the competition during summer.
6. If you cannot attend a local selection event Norfilms may allow you to attend an alternative event in another region.
7. The exact schedule will be given to you no later than the first week in July.
8. The contest is to run from August to November.
9. All expenses for travel and accommodation of winners and runners-up to attend all promotional activities for the environmental campaign shall be met by Norfilms.

Employment

1. Norfilms may offer you employment as a result of your efforts during the contest.
2. This agreement will remain in force in such employment.
3. Additional agreements will be made with you at the time you are offered employment.

Final Prize

1. There is a single final prize to the winner of the contest.
2. It will not be exchanged for cash.
3. The winner must be capable of accepting the prize and qualified/licensed to use it.
4. Norfilms will retain legal ownership for one year.
5. If you break this agreement, especially by bringing Norfilms, the contest, the environmental campaign into disrepute, the prize will be withdrawn and awarded to the next runner-up.
6. You remain responsible for maintaining the prize in good, safe, working order while it is in your possession.
7. At the end of the year you will receive full legal title to the prize.

General Declaration

1. Norfilms cannot accept any liability for loss or damages to you resulting from any one or more of the following:-
1. Any event falling within the category of force majeure, such as: war, acts of gods, politicians, criminals, protesters, nature, etc.
2. Failure, loss or error of technical function or communication outside the direct control of Norfilms.
3. Loss or damage resulting from your failure to notify Norfilms in a reasonable time to take action to avert any such within its power to do so.
2. Norfilms reserves the right to amend these terms without notice.
3. You have a right to withdraw from the contest before its launch if you disagree with any future change in these terms.
4. No waiver by Norfilms any breach of this agreement by you shall be considered as a waiver of any subsequent breach of the same or any other provision.
5. If any provision of this agreement is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of this agreement and the remainder of the provision in question shall not be affected.
6. This agreement shall be governed by the laws of England, and you agreed to submit to the non-exclusive jurisdiction of the English courts.
